Clausewize is designed to help users review legal text more quickly, but it is not legal advice and must not be treated as a substitute for professional review where the stakes are material.

Overview

These Terms of Service govern your access to and use of Clausewize, including the Clausewize marketing website, account web app, browser extension, and any related features, content, and services we make available.

By accessing or using Clausewize, you agree to these Terms. If you do not agree, do not use the service. Our Privacy Policy explains how we handle data and should be read together with these Terms.

Eligibility and Accounts

You must be legally able to enter into a binding agreement to use Clausewize. If you use Clausewize on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Some Clausewize features can be used without an account. Other features, including synced history and future hosted access, may require an account. You are responsible for maintaining the security of your account and for activity that occurs under it.

BYOK and Hosted Modes

Clausewize may offer both Bring Your Own Key (BYOK) and hosted modes. In BYOK mode, you connect your own third-party provider credentials and the extension may call those providers directly from your browser environment.

You are solely responsible for your third-party provider accounts, billing, quotas, API usage, model selection, and compliance with those providers' terms. Clausewize is not responsible for third-party provider pricing, output quality, outages, suspensions, or policy changes.

Hosted mode may be offered now or in the future on a limited, gated, waitlist, beta, or paid basis. We may add, change, limit, meter, suspend, or remove hosted features at any time.

Accuracy, Availability, and Limitations

Clausewize uses heuristics, extraction systems, and third-party model outputs to help identify legal risk. Results may be incomplete, inaccurate, delayed, outdated, or wrong. Clausewize may fail to identify important clauses, misunderstand context, or produce misleading conclusions.

You must not rely on Clausewize output as the sole basis for legal, business, financial, procurement, compliance, or operational decisions. You remain responsible for reviewing the actual underlying terms and for obtaining professional advice when appropriate.

We do not guarantee uptime, uninterrupted operation, continued feature availability, or compatibility with any specific website, browser, provider, model, or workflow.

Acceptable Use

You may not use Clausewize to violate law, infringe rights, interfere with security, abuse infrastructure, reverse engineer restricted portions of the service, bypass rate limits or access controls, or attempt to disrupt Clausewize or third-party providers.

You may not use Clausewize in a way that misrepresents automated output as professional legal advice, or in a way that could reasonably create unjustified reliance by others on Clausewize as a legal professional service.

Third-Party Services

Clausewize depends on third-party browsers, authentication providers, hosting providers, analytics, and model providers. Those services are outside our control and may impose their own terms, privacy policies, restrictions, and operational limits.

Clausewize is not responsible for third-party services, websites, legal documents, provider outputs, or external content accessed through the service.

Intellectual Property

Clausewize and its related software, branding, site content, visual materials, and product design are owned by Clausewize or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable right to use Clausewize for its intended purpose. These Terms do not transfer ownership of Clausewize or any of our intellectual property to you.

Suspension and Termination

We may suspend, restrict, or terminate access to some or all of Clausewize at any time, with or without notice, including if we believe your use creates legal, security, abuse, or operational risk, or violates these Terms.

You may stop using Clausewize at any time. Sections that by their nature should survive termination will survive, including disclaimers, limitations of liability, intellectual property provisions, and dispute-related provisions.

Disclaimers

Clausewize is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Clausewize disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not warrant that Clausewize will detect every risky clause, produce complete results, preserve historical compatibility, or meet your specific legal or compliance needs.

Limitation of Liability

To the maximum extent permitted by law, Clausewize will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business opportunity, or data arising out of or related to your use of Clausewize.

To the maximum extent permitted by law, Clausewize's total liability for any claim arising out of or relating to Clausewize will not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the amount you paid directly to Clausewize for the relevant service in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Changes to These Terms

We may update these Terms from time to time. When we do, we may revise the effective date and publish the updated version on the website.

Your continued use of Clausewize after updated Terms become effective means you accept the revised Terms.

If you have questions about these Terms, or want to raise a complaint or dispute, contact us first at support@clausewize.app. We prefer to try to resolve issues informally before either side escalates them further.

If we later designate a governing law, venue, or more specific dispute-resolution process, we may do so in a future update to these Terms.
